Terms of Service

1. Acceptance of Terms
By accessing or using Halo (the "Service"), including the CLI tool, IDE extensions, website at runhalo.dev, and any associated services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the Service.
2. Nature of Service
Halo is a software analysis and compliance evidence tool. Halo scans source code, identifies patterns relevant to children's privacy regulations, and enables developers to document their compliance positions through structured attestations. Halo does not provide legal advice, legal opinions, or compliance certifications. Use of Halo does not establish an attorney-client relationship.
The Service includes code scanning tools, AI-powered analysis of scan findings, developer attestation features, and web-based dashboards, reports, and documentation.
3. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us immediately of unauthorized use. Mindful Media is not liable for losses arising from unauthorized use of your account.
4. Subscriptions and Payment
Halo offers free and paid subscription tiers. By subscribing to a paid plan, you agree to pay the applicable fees. Fees are billed in advance on a monthly or annual basis and are non-refundable except as required by law or as expressly stated in these Terms.
We may change pricing with 30 days' notice. If you do not agree, you may cancel before the next billing cycle. Failure to pay may result in suspension or termination of your account.
5. Developer Attestations
Developer attestations recorded through Halo represent the attesting party's own statements regarding their code's purpose, data handling practices, and regulatory intent. Halo captures, timestamps, and preserves these attestations as compliance documentation. Halo does not independently verify the accuracy of developer attestations and makes no representation that attested statements are true, complete, or legally sufficient for any regulatory purpose.
Records created through Halo's attestation features may be discoverable in regulatory proceedings or litigation. We recommend consulting qualified legal counsel before documenting compliance positions.
6. No Compliance Guarantee
Halo's scan results and attestation records do not constitute a determination, certification, or guarantee of compliance with any law, regulation, or standard. Compliance determinations require review by qualified legal counsel familiar with the applicable jurisdiction and the specific facts of your implementation. Halo's output should be treated as one input to that review process, not as a substitute for it.
AI-powered analysis within the Service is probabilistic and may produce false positives or false negatives. It is not a substitute for human review.
7. Intellectual Property
Mindful Media Network LLC retains all rights, title, and interest in the Service, including all software, algorithms, rules, documentation, and trademarks. You retain ownership of your source code and the content of your attestation responses.
By using the Service, you grant Mindful Media a limited, non-exclusive license to use anonymized, aggregated data derived from your use of the Service to improve its accuracy and functionality. This license survives termination.
8. License
Certain components of Halo are made available under open-source licenses. The applicable license terms are included in the relevant project repositories. All other components of the Service are proprietary to Mindful Media Network LLC.
9. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose.
- Attempt to circumvent rate limits, access controls, or security measures.
- Misrepresent Halo scan results or badges as a formal compliance certification or legal opinion.
- Use the Service to gain unauthorized access to any system.
- Reverse-engineer, decompile, or attempt to extract proprietary algorithms or rule logic from the Service.
10. Limitation of Liability
In no event shall Mindful Media Network LLC and its contributors be liable for any regulatory fine, penalty, enforcement action, or legal proceeding arising from reliance on Halo's scan results or attestation records. Users are solely responsible for ensuring their applications comply with applicable law.
To the maximum extent permitted by law, Mindful Media's total aggregate liability for all claims arising from the Service shall not exceed the fees paid by you in the twelve (12) months preceding the claim.
In no event shall Mindful Media be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.
11. Disclaimer of Warranties
The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
12. Indemnification
You agree to indemnify and hold harmless Mindful Media Network LLC, its contributors, and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your source code or attestation content; or (d) your violation of any applicable law.
13. Termination
Either party may terminate this agreement at any time. You may cancel your account through the dashboard or by contacting [email protected]. Mindful Media may suspend or terminate your access for violation of these Terms or for any reason with 30 days' notice.
Upon termination: (a) your right to use the Service ceases immediately; (b) scan metadata and attestation records are retained for 90 days then deleted unless you request earlier deletion; (c) anonymized, aggregated data may be retained indefinitely per our Privacy Policy.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute shall be resolved through binding arbitration administered by the American Arbitration Association in the State of Delaware. Either party may seek injunctive relief in a court of competent jurisdiction.
15. General Provisions
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
- Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement regarding the Service.
- Waiver: Failure to enforce any provision does not constitute a waiver.
- Assignment: You may not assign without prior written consent. Mindful Media may assign in connection with a merger, acquisition, or sale of assets.
16. Changes to Terms
Material changes will be communicated via runhalo.dev and email with at least 30 days' notice. Continued use after the effective date constitutes acceptance.
